Introduction and acceptance
These Terms of Service ("Terms") govern access to and use of the CueHunt platform ("CueHunt", "the Service", "we", "us", or "our"), operated by Rowbotham Invest ApS, CVR 40072497 ("the Company").
By creating an account, signing in (including via third-party authentication such as Google), or otherwise accessing or using CueHunt, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree, you must not use the Service.
Nothing in these Terms creates any obligation on the Company beyond what mandatory applicable law requires. The Service is offered on a discretionary basis and may be withdrawn at any time.
No binding relationship
Your use of CueHunt does not create any employment, agency, partnership, joint venture, fiduciary, or franchise relationship between you and the Company.
No service level agreement, uptime commitment, support obligation, or delivery guarantee is implied or granted unless expressly agreed in a separate written document signed by an authorised representative of the Company. In the absence of such a document, the Company assumes no contractual obligations to you whatsoever.
The Company is not responsible for outcomes you achieve or fail to achieve through use of the Service, including but not limited to lead volume, lead quality, revenue, conversions, or business growth.
Description of the Service
CueHunt is a software tool that helps users discover and qualify potential leads from publicly accessible Facebook group content based on configuration and search criteria provided by the user.
Features, limits, pricing tiers, integrations, and functionality may change, be suspended, or be discontinued at any time without prior notice. The Company does not guarantee continued availability of any specific feature, integration, or data source.
The Service may rely on third-party platforms, APIs, and infrastructure. The Company has no control over and accepts no responsibility for changes, restrictions, outages, or enforcement actions by third parties, including Meta (Facebook).
No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.
The Company does not warrant that the Service will be error-free, secure, uninterrupted, or free of harmful components. The Company does not warrant the accuracy, completeness, or usefulness of any leads, data, classifications, or outputs generated by the Service.
Any reliance on information or outputs from CueHunt is solely at your own risk.
Your responsibilities
You are solely responsible for your use of CueHunt and for all activities conducted under your account. You must ensure that your use complies with all applicable laws and regulations, including data protection law (such as the GDPR), marketing and outreach rules, and the terms and policies of third-party platforms.
You are solely responsible for compliance with Meta (Facebook) terms of service, community standards, and any applicable platform rules. The Company does not authorise or encourage any use of the Service that violates third-party terms or applicable law.
You are solely responsible for how you contact, store, process, and use any leads or personal data obtained through or in connection with the Service. The Company does not provide legal advice and does not verify whether your intended use of data is lawful.
You must provide accurate account information and keep your credentials secure. You must notify us promptly of any unauthorised access to your account.
Acceptable use
You may not use CueHunt to engage in unlawful activity, harassment, spam, fraud, or any activity that infringes the rights of others.
You may not attempt to circumvent usage limits, access controls, or security measures. You may not reverse engineer, scrape, or interfere with the Service except as expressly permitted by these Terms.
You may not use the Service in a manner that could damage, disable, or impair CueHunt or any third-party systems, or that could result in account restrictions or enforcement action against the Company or other users.
The Company may investigate suspected violations and take any action it deems appropriate, including suspension or termination, without liability to you.
Account suspension and termination
The Company may suspend, restrict, or terminate your access to CueHunt at any time, with or without cause, with or without notice, and without liability or obligation to provide refunds or compensation.
You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including disclaimers, limitations of liability, and indemnification.
Upon termination, your right to access the Service ceases immediately. The Company has no obligation to retain or export your data unless required by mandatory law.
Fees and billing
Paid plans, where offered, are billed through Stripe or another payment processor designated by the Company. Prices, plan limits, and billing intervals may change at any time. Continued use after a price change constitutes acceptance of the new pricing unless you cancel before the change takes effect.
Fees are exclusive of VAT and other applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase.
Except where mandatory law requires otherwise, all fees are non-refundable. Downgrades, cancellations, and billing disputes are handled according to the billing portal and applicable law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ZERO DKK IF YOU HAVE NOT PAID ANY FEES.
Some jurisdictions do not allow certain limitations of liability. In such cases, the Company's liability is limited to the fullest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any data, content, or outreach activity conducted by you or on your behalf using leads or information obtained through the Service.
Intellectual property
CueHunt, including its software, design, branding, documentation, and all related intellectual property, is owned by or licensed to Rowbotham Invest ApS. These Terms do not grant you any ownership rights in the Service.
You retain ownership of data you submit to the Service. You grant the Company a non-exclusive, worldwide, royalty-free licence to host, process, and use such data solely as necessary to operate, maintain, and improve the Service.
Changes to these Terms
The Company may modify these Terms at any time by posting an updated version on the CueHunt website. The "Last updated" date at the top of the page indicates when the Terms were last revised.
Your continued access to or use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
Governing law and disputes
These Terms are governed by the laws of Denmark, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark, unless mandatory law provides otherwise.
